Terms and Conditions

Welcome to KnowMe LLC ("KnowMe," "we," "us," or "our"), a Texas-based limited liability company. These Terms and Conditions ("Terms") govern your use of our services, including long-format interviews, tailored LinkedIn profiles, resumes/CVs, and other collateral materials (collectively, the "Services"). By engaging with KnowMe and utilizing our Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

1. Services Provided

KnowMe LLC provides the following Services to Clients:
Conducting long-format interviews (approximately 2 hours in duration);
Creating a tailored LinkedIn profile based on the interview and other provided information;
Creating a tailored resume/CV based on the interview and other provided information;
Providing additional collateral materials (e.g., additional resumes/CVs and other personal documents or other professional content) as agreed upon.
Other services based on the content of the interview and other provided information.

2. Ownership and Use of Interview Content

2.1 Ownership: You acknowledge and agree that all content generated during the interview process, including but not limited to audio recordings, video recordings, transcripts, and any derivative works (collectively, "Interview Content"), is the sole property of KnowMe LLC. Upon completion of the interview, you assign all rights, title, and interest in the Interview Content to KnowMe LLC, including any intellectual property rights you may have under applicable law.
2.2 License and Usage: KnowMe LLC retains unrestricted rights to use, reproduce, modify, distribute, display, and create derivative works from the Interview Content for any purpose, including but not limited to:
a. Producing and publishing content for social media, marketing, or promotional purposes (with or without attribution to you, at our discretion);
b. Training artificial intelligence systems or other proprietary processes;
c. Combining Interview Content with data from other interviews to analyze trends, generate reports, or develop aggregated insights;
d. Any other commercial or non-commercial use deemed appropriate by KnowMe LLC.
2.3 Anonymity: KnowMe LLC may, at its sole discretion, use the Interview Content with or without identifying you. If anonymity is desired, you must explicitly request this in writing prior to the interview, though KnowMe LLC reserves the right to deny such a request based on operational needs.

3. Pricing and Consideration

3.1 Reduced Cost: The fees charged for the Services are discounted to reflect the value of the Interview Content rights assigned to KnowMe LLC. You acknowledge that this reduction constitutes fair consideration for the unrestricted use of the Interview Content as outlined in Section 2.
3.2 Payment Terms: Fees for the Services will be outlined in the Service Agreement. Payment is due in full prior to delivery of the tailored LinkedIn profile, resume/CV, or other collaterals, unless otherwise agreed in writing.

4. Right to Be Forgotten

4.1 Request Process: Under applicable privacy laws, you may request that KnowMe LLC cease using identifiable Interview Content ("Right to Be Forgotten"). Such requests must be submitted in writing to [insert contact email or address].
4.2 Cost Adjustment: If you exercise your Right to Be Forgotten, you agree to pay KnowMe LLC the difference between the discounted fee paid for the Services and the full, undiscounted cost of the Services (the "Cost Differential"). The Cost Differential will be determined by KnowMe LLC based on its standard pricing at the time of the request and communicated to you in writing. Payment of the Cost Differential is due within 30 days of notification.
4.3 Limitations: Upon payment of the Cost Differential, KnowMe LLC will cease using identifiable Interview Content where feasible. However, this does not apply to anonymized or aggregated data, derivative works, or content already published or distributed prior to the request.

5. Client Responsibilities

5.1 Accuracy of Information: You agree to provide accurate and complete information during the interview and for the creation of the LinkedIn profile, resume/CV, and other collaterals. KnowMe LLC is not responsible for errors or omissions resulting from inaccurate or incomplete information provided by you.
5.2 Cooperation: You agree to cooperate fully with KnowMe LLC during the interview process and promptly respond to any requests for clarification or additional information.
6. Confidentiality
KnowMe LLC will not treat Interview Content as confidential unless explicitly agreed otherwise in writing. If you disclose sensitive personal or proprietary information during the interview, you do so at your own risk, and such information may be used as part of the Interview Content under Section 2.

7. Warranties and Disclaimers

7.1 Client Warranties: You represent and warrant that: (a) you have the legal right and capacity to enter into these Terms; and (b) the information you provide does not infringe on the rights of any third party.
7.2 Disclaimer: The Services are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. KnowMe LLC does not guarantee that the Services will meet your expectations or result in specific outcomes (e.g., job offers or professional opportunities).

8. Limitation of Liability

To the fullest extent permitted by Texas law, KnowMe LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to these Terms or the Services, even if advised of the possibility of such damages. Our total liability to you shall not exceed the fees paid by you for the Services.

9. Indemnification

You agree to indemnify, defend, and hold harmless KnowMe LLC, its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from: (a) your breach of these Terms; (b) your provision of false or misleading information; or (c) any third-party claims related to your use of the Services.

10. Governing Law and Dispute Resolution

10.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
10.2 Dispute Resolution: Any disputes arising under these Terms shall be resolved through binding arbitration in Austin, Texas, in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorneys’ fees and costs.

11. Termination

KnowMe LLC may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, Sections 2, 4, 7, 8, 9, 10, and 12 shall survive.

12. Miscellaneous

12.1 Entire Agreement: These Terms, together with any Service Agreement, constitute the entire agreement between you and KnowMe LLC regarding the Services.
12.2 Amendments: KnowMe LLC may modify these Terms at any time by posting an updated version on our website or notifying you directly. Continued use of the Services after such changes constitutes your acceptance of the revised Terms.
12.3 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
